Terms of use

These terms govern the use of this website. They are short and they are meant literally: the site is a reference work on Italian company law and procedure, it is not advice on your case, and reading it or writing to us does not by itself make you a client.

What this site is

A reference site, written in English, about registering and running a company in Italy: the forms of company, the incorporation procedure, the Register of Companies, the tax identifiers and the reporting that follow, the authorisations some activities need, and the visa routes open to a founder. It is written for people who are not resident in Italy and who are deciding on Italian law from outside it.

It describes how the law and the registers work in general. It does not apply them to a particular set of facts, and it is not a substitute for someone doing so with your documents in front of them.

Not advice on your case

Nothing on this site is legal, tax, accounting or investment advice for a specific case. The pages set out Italian law and procedure as they stand at the dates shown on them. Your own facts, your residence, your nationality, your shareholders and the activity you intend to carry on can each change the answer, sometimes completely.

The most common way to come to grief with a site like this one is to read a page that describes the ordinary case, recognise most of your situation in it, and assume the rest follows. Reciprocity for a non-EU shareholder, the tax residence of a company managed from abroad, whether a particular activity needs an authorisation before it can start: each of those turns on details a general page cannot know about you.

If a page matters to a decision you are about to take, put your facts in front of someone before you act. Ours are on the team page, and the way to reach them is the contact form.

Figures, sources and dates

Every figure on this site carries the article of law or the official source it comes from, and the date on which we last checked it. That applies to share capital minimums, government fees, tax rates, deadlines and thresholds alike.

Read the date as part of the figure. A rate checked in September 2026 is a statement about September 2026. Italian tax and company law change by decree, by budget law and by ministerial instruction, sometimes with effect from a date in the middle of a year, and a page that was right when it was written can be wrong by the time you read it. We recheck and update, but we cannot promise that every page is current at the moment of your visit.

Where a source does not settle a point, the page says so rather than filling the gap with a plausible number. Where a page and an official source disagree, the official source is right, and we would like to hear about it at [email protected] so that the page can be corrected.

No client relationship arises from this site

Reading a page creates nothing. Sending the contact form or the onboarding questionnaire creates nothing. Receiving our first reply, even a reply that answers the question you asked, creates nothing.

A client relationship begins only when we and you have agreed in writing what is to be done, on what terms, and we have confirmed that we are taking the matter on. Until that has happened, no duty of care arises, nothing we write to you is advice you are entitled to rely on, and no deadline of yours is being watched by us.

Two practical consequences. First, do not leave a time-critical step to us before there is a written engagement; the fact that we have your enquiry does not mean anybody is acting on it. Second, do not send confidential or privileged material with a first message. What you do send is treated in confidence and handled as described in the privacy policy, but confidentiality is not the same thing as a professional relationship, and sending material does not create one.

Titles and reserved work

Nobody named on this site uses an Italian professional title, and nobody claims membership of an Italian professional order. Those are matters of open public register in Italy and we make no such claim, here or anywhere else on the site.

Some steps in Italian company procedure are reserved by law to a notary or to another registered professional: the incorporation deed and its filing are the obvious example. Work of that kind is done by a person qualified to do it, and we say when it has been and by whom. Our own role in it is the preparation, the coordination and the filing that surrounds it.

Using the site and the forms

You may read the site, print pages from it, and link to it. The forms are there for genuine enquiries and payments.

  • Do not submit anything unlawful, abusive or misleading, and do not use the forms to send bulk or automated traffic. A bot check runs on every submission, and submissions that fail it are discarded without being read.
  • Do not attempt to interfere with the site, to probe it for weaknesses, or to scrape it at a rate that affects its availability for other people.
  • What you enter is what we work from. A proposal built on inaccurate facts is inaccurate, and correcting the facts later can change what is possible and what it involves.
  • Where you give us personal data about somebody else, a co-shareholder or a director, you confirm that you are entitled to do so.

The payment page is for settling an invoice we have issued. Enter the invoice number and the amount exactly as printed on it; a payment that cannot be matched to an invoice takes longer to allocate than one that can.

Our content, and quoting it

The text, the tables and the drawings on this site are ours, and the research behind them took real work. You are welcome to quote a passage with a link to the page it came from, and to cite our pages in your own notes and internal documents.

Republishing a page, or a substantial part of one, whether copied outright or reworded, is not permitted without our written agreement. The statutes and official documents we cite are, of course, not ours and belong where they came from; anyone is free to go to those sources directly, and we would encourage it.

Availability

The site is a set of static files served from a content delivery network, and we intend it to stay up. We do not promise uninterrupted or error-free availability, and nothing on this page is a service level commitment. Maintenance, a provider outage or an attack can take the site offline, and pages are added, revised and occasionally retired as the law changes.

Limits of liability

To the extent the applicable law allows it:

  • we accept no liability for a decision taken on the strength of a page of this site without advice on your own facts;
  • we accept no liability for a figure that has changed since the date shown on the page where it appears, or for the consequences of a change in Italian law after that date;
  • we accept no liability for the content of a third-party site we linked to, or for loss arising from this site being temporarily unavailable;
  • we accept no liability for indirect or consequential loss, including lost profit, lost opportunity or the cost of a missed deadline, arising from the use of the site.

Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, and for death or personal injury caused by negligence.

If you become a client, our liability for the work we do for you is governed by the engagement documents for that work, and those documents replace this section for everything they cover.

Governing law

The law governing an engagement, and the forum for any dispute about the work done under it, are set out in the engagement documents and settled before the work starts. They are not fixed by this page, and we are not going to state an entity and a jurisdiction here before the entity details are published in the privacy policy. Where you deal with us as a consumer, the mandatory rights you have under the law of your country of residence are not affected by anything on this page.

Changes to these terms
