No statutory nominee director or nominee shareholder exists in Italy
What Italian law actually recognises
Company law provides one route for holding a shareholding in a name other than the principal's, a MIMIT-licensed fiduciary company, and it names no informal second one. A private promise between two people creates no protection and changes nothing the official register shows.
A quota transfer takes effect toward the company from the date it is filed, not the date of signature (Normattiva: Codice civile, Art. 2470(1)). The S.r.l. members' register was abolished in 2009 (Art. 2478(1)(1)), leaving the register the sole public record of who holds each quota.
Three columns compared side by side. Column 1, unlicensed nominee arrangement: basis, no statute recognises it; regulator, none; effect on disclosure, does not remove the beneficial-owner filing duty. Column 2, MIMIT-licensed società fiduciaria: basis, L. 1966/1939 and its implementing decrees; regulator, MIMIT, Divisione VII; effect on disclosure, itself an obliged filer, discloses the principal. Column 3, genuine professional or independent director: basis, Art. 2383(4) c.c., an ordinary appointment; regulator, registered with the Register of Companies; effect on disclosure, named and personally accountable, not a nominee at all. Only the middle column is licensed. All three routes leave the real controller disclosed somewhere in the system.
What's included
The premise, checked first
We separate the real concern, privacy, residency or reciprocity, from the word nominee, and say which lawful route answers it.
A licensed fiduciary company
Introduction to a società fiduciaria that holds the quota in its own name under a fiduciary mandate, for you as the disclosed fiduciante.
Licence verification
We check the provider against the list MIMIT publishes and updates, most recently on 21 July 2026.
A genuine director instead
Where the concern is residency or day-to-day management, a real, named director appointed under Art. 2383(4) c.c. answers it directly.
The filing, not a way round it
We prepare the beneficial-owner communication the arrangement triggers. Real substance, a business bank account in Italy included, is the companion step.
Who it is for
Founders carrying an offshore assumption
You have used a nominee director elsewhere and expect Italy to work the same way. It does not.
A privacy expectation
You want distance between your name and the day-to-day record. A licensed fiduciary mandate is the supervised route; anonymity is not on offer.
A residency or reciprocity doubt
You hold a non-EU passport and have been told an Italian director must be EU-resident. That claim needs checking against the governing article.
A company that already exists
The quota or the directorship is already registered and you want to restructure how it is held, with the filings done.
How the process works
Two timelines sit behind a lawful arrangement: how a fiduciary company is authorised at all, and what your own company files once the arrangement exists.
- Licence check. The ministry "authorises the fiduciary and audit companies and exercises supervisory activity over them, including through inspection" (MIMIT: fiduciary companies). List updated 21 July 2026
- Incorporation before authorisation. Under the ministerial decree of 16 January 1995, a fiduciary company must already be incorporated and entered in the Register of Companies before it may apply.
- Ministry of Justice concurrence. MIMIT's Divisione VII seeks the Ministry of Justice's concurrence before deciding, and silence counts as agreement. 30 days
- Silent assent. The authorisation procedure runs to 120 days under D.P.C.M. 272/2010, after which silent assent applies if MIMIT has not yet decided. 120 days
- Withdrawal, if it comes. Losing the authorisation runs as its own distinct procedure, and a company struck from the list stops being entitled to act as a fiduciary.
- Your own filings. The quota transfer, the director's appointment and the beneficial-owner communication each go on the record. Director: 30 days from the notice

Describe the structure and the worry behind it. We will tell you which lawful route answers it.
Tell us about your caseWhat the filing actually needs
- A Telemaco contract with the chamber system
- A digital-signature device and a PEC (certified email) address
- DIRE, the register's current e-filing tool, or updated market software
- Electronic means only, free of stamp duty, to the Register of Companies (Art. 21(1))
- A director's signature for a company's own communication
- The founder or representative for a private legal person
- The fiduciario itself for a trust or fiduciary mandate
- No special power of attorney in place of that signature
- An intermediary may transmit the filing; transmitting is not signing
- Each director identified by name, birth particulars, domicile and citizenship
- Registration within 30 days of the notice of appointment
- A director's term of at most three financial years
The fiduciary licence at a glance
The MIMIT authorisation regime is the only licensed mechanism for holding an Italian shareholding in a name other than the principal's.

Where the register still names you
The duty is active
Normattiva: D.Lgs. 210/2025, dated 31 December 2025, has been in force since 9 January 2026 and restructures the regime end to end.
No suspension notice
The filing portal names who must file: all forms of S.r.l., every S.p.A., and, on the fuller list, partnerships limited by shares and cooperatives (Registro Imprese: beneficial-owner filing portal).
A fiduciary is an obliged filer
Information for trusts and fiduciary mandates is communicated by the fiduciary itself, or by someone acting on its behalf (Genoa chamber: beneficial-owner explainer).
Who the law looks for
The natural person on whose behalf an operation is carried out, or the entity's final beneficiary. Filing mechanics sit on Company in Italy: beneficial owner register in italy.
What anyone can see
Name, surname, month and year of birth, country of residence and citizenship, on payment of a secretarial fee (Art. 21(2)(f)).
What authorities see
The Ministry of Economy and Finance, sectoral supervisors, the Financial Intelligence Unit, anti-mafia bodies, the judicial authority and the tax-evasion authorities: access without that restriction.
When access is excluded
Case by case, where it would expose the beneficial owner to fraud, kidnapping, extortion or violence, or where that person lacks capacity or is a minor.
What the extract shows
A visura camerale lists titolari e soci con relative quote, straight from the filing (Registro Imprese: visura camerale).
A left-to-right timeline. 2007: the AML decree, D.Lgs. 231/2007, establishes the beneficial-owner concept in Italian law. 17 May 2024, superseded: the Consiglio di Stato grants an interim suspension sought by fiduciary companies. 2024 to 2025, superseded: chamber notices describe the obligation as temporarily frozen. 31 December 2025: D.Lgs. 210/2025 is enacted. 9 January 2026: D.Lgs. 210/2025 enters into force, the regime restructured end to end. Today: the filing portal presents the obligation as active, with no suspension notice. The register's 2024 suspension is historical. It has been superseded since D.Lgs. 210/2025 took effect on 9 January 2026.
Accuracy note: this page states the position under the instruments cited, as published at the update date, and is not legal advice. The beneficial-owner register's current sanction figure and current first-filing deadline are not restated here because they are not confirmed under the reformed regime in the sources used. Problems we solve
An informal arrangement protects nobody
It has no home in Italian company law. Making the promise is not itself a crime, but nothing forces it to be honoured, and the registered name carries every duty and liability of the office.
The disclosure duty attaches anyway
Going informal adds legal exposure without buying distance from the public record. The beneficial-owner definition looks through registered names either way.
Even the sector never claimed otherwise
In 2024 it was fiduciary companies that obtained the Consiglio di Stato's interim suspension of 17 May 2024. They argued the register should pause, never that a mandate removes the duty.
The EU-residency claim, checked
Article 2383(4) of the Civil Code states what a director's registration must contain and sets no residency condition. Our sources show no general rule, an absence rather than a categorical denial.
The one confirmed exception
A crypto-asset service provider authorised under Regulation (EU) 2023/1114 must have at least one director resident in the Union (EUR-Lex: Regulation (EU) 2023/1114, Article 59(2)).
Reciprocity is a separate question
Foreign persons hold Italian civil rights on condition of reciprocity (Normattiva: Codice civile, Art. 16 disp. prel.). Where it is in doubt the Ministry of Foreign Affairs verifies it through the immigration authority, under the Consolidated Immigration Act.
The director's digital domicile
Whoever holds the top office must register a personal domicilio digitale, separate from the company's, in force since 31 October 2025 (Milano Monza Brianza Lodi chamber: digital domicile).

Send us what was proposed. We will tell you what it is under Italian law, and what it is not.
Tell us about your caseWhy work with us
From our practice. Most founders who ask for a nominee director are not trying to break the law. They carry the idea over from a jurisdiction where the product exists. The first conversation separates that assumption from the concern underneath: privacy, residency, reciprocity, or a foreign name on a public register.
Treating the beneficial-owner filing as something to structure around is the recurring mistake: it cannot be, only complied with. If the company does not exist yet, begin with Company in Italy: company registration in italy. If it does, start the onboarding form.

Frequently Asked Questions
Does Italian law recognise a "nominee director" or "nominee shareholder"?
No separate statutory category exists. The one lawful mechanism for holding an Italian shareholding in a name other than the principal's is a MIMIT-licensed società fiduciaria (fiduciary company), which holds the asset in its own name on a disclosed principal's behalf.
What is a società fiduciaria?
A company authorised and supervised by the Ministero delle Imprese e del Made in Italy (MIMIT) under Law 1966/1939 to hold assets, including company shareholdings, in its own name for a principal who remains the disclosed beneficial owner.
Who authorises a fiduciary company in Italy, and how?
MIMIT, through its Divisione VII, after seeking the concurrence of the Ministry of Justice, which is deemed given if it does not respond within 30 days.
How long does fiduciary-company authorisation take?
Up to 120 days under D.P.C.M. 272/2010, after which silent assent applies automatically if MIMIT has not yet decided on the application.
Does a fiduciary holding hide the real owner from the state?
No. A fiduciary company, or a trust's fiduciary, is itself among the parties obliged to file beneficial-owner information; the mechanism discloses the principal, it does not shield them.
Is Italy's beneficial-owner register currently active?
Yes. D.Lgs. 210/2025 has been in force since 9 January 2026 and restructures the regime end to end. The official filing portal presents the obligation as operative, with no suspension notice.
Which companies must file beneficial-owner information?
Every company with legal personality registrable under Art. 2188 of the Civil Code, including all forms of S.r.l. (ordinary, simplified, innovative startups) and every S.p.A.
What happens if a company fails to file its beneficial-owner information?
Failure to communicate is punished under the same sanction as Art. 2630 of the Civil Code, cross-referenced directly in the current, operative statute rather than in a subordinate decree.
Who can see a company's beneficial-owner data?
A defined list of authorities without restriction (including the Ministry of Economy and Finance and the Financial Intelligence Unit), obliged entities carrying out due diligence, and the general public on payment of a secretarial fee, limited to name, month and year of birth, country of residence and citizenship.
Can public access to beneficial-owner data ever be restricted?
Yes, case by case, where access would expose the beneficial owner to a disproportionate risk such as fraud, kidnapping, extortion or violence, or where that person lacks legal capacity or is a minor.
Must an Italian company director be resident in Italy or the EU?
Our sources show no such general condition in the Civil Code provision governing director registration. A residency rule does exist, but only for the directors of a licensed crypto-asset service provider under MiCAR.
Does every director now need a personal digital domicile?
Whoever functionally holds the office of sole director, managing director, or, failing those, chair of the board, must register a personal digital domicile that cannot coincide with the company's own.
By when did existing companies have to comply with the director's digital-domicile duty?
By 31 December 2025, and in any case on appointment or renewal of the relevant office after that date.
Does using a nominee cure a reciprocity problem?
No. Reciprocity under Art. 16 of the preliminary provisions to the Civil Code is a condition on a foreign person's own capacity to hold rights in Italy; putting a different registered name on the company does not change who the disclosed beneficial owner behind it actually is.
Who is a "beneficial owner" under Italian law?
The natural person on whose behalf an operation or activity is carried out, or who is the entity's final beneficiary, a definition that looks through any registered holder, nominee or fiduciary arrangement to the real controller.
